UAE e-invoicing for free zone companies
In short: Free zone companies are not exempt from UAE e-invoicing: scope follows the transaction, not where the company is licensed. A free zone business making B2B or B2G supplies is in scope and follows the same dates as everyone else — revenue of AED 50 million or more goes live on 1 January 2027, others on 1 July 2027. Specific exclusions, such as certain exempt financial services, apply per transaction.
Many free zone businesses assume the mandate is a mainland matter. It isn’t. The UAE electronic invoicing system covers business-to-business and business-to-government transactions conducted in the UAE, and a free zone licence is not on the exclusion list.
What is in and out of scope
| Situation | In scope? |
|---|---|
| Free zone company selling to another UAE business (free zone or mainland) | Yes |
| Free zone company selling to a UAE government entity | Yes |
| Free zone company selling to consumers (B2C) | Not under the current mandate |
| VAT-exempt or zero-rated financial services (common in DIFC and ADGM) | Excluded per qualifying transaction — other transactions of the same entity may still be in scope |
| Transactions between members of the same VAT Tax Group | Excluded for 24 months from 1 January 2027 (Ministerial Decision 197 of 2026) |
| Qualifying Free Zone Person status for corporate tax | Not an e-invoicing exemption |
The exclusions are set by Ministerial Decision 243 of 2025, as amended by Ministerial Decision 197 of 2026; an entity can have excluded and in-scope transactions side by side, so check by transaction type, not by company.
Dates
Same as every in-scope business: revenue of AED 50 million or more — appoint an ASP by 30 October 2026, live from 1 January 2027; all others — appoint by 31 March 2027, live from 1 July 2027. Check your wave.
Free zone practicalities
- Group structures with a free zone trading company and a mainland branch need a scope check per legal entity.
- Exports from a free zone still generate invoices; confirm their treatment with your tax advisor.
- Free zone software choices — many free zone businesses run Zoho Books, Tally, QuickBooks or Odoo. See what your system needs.
Do designated zones get special treatment?
Designated zones are a VAT concept for certain goods movements. The e-invoicing framework does not create a separate exemption for them; assess them under the same scope rules and confirm with your tax advisor.
